What Rhode Island law requires of wholesalers
- Signed June 23, 2026 and effective January 1, 2027: no one may enter into a wholesale contract or assignment contract unless they hold an active Rhode Island real estate license or qualify for an exemption. A wholesaler is someone who assigns or sells their equitable interest before taking title more than once in any 12-month period.
- Before signing with a seller, you must disclose in writing that you may assign the contract for a fee; before assigning, you must tell the buyer in writing that you hold an equitable interest but not legal title. Seller and buyer each get three days, excluding weekends and holidays, to cancel without penalty, and that right cannot be waived.
- Violations carry fines of $500 for a first offense and $1,000 for each later offense, plus civil liability of one to three times the fee you earned. Until the law takes effect, Rhode Island has no wholesaling-specific statute and the general license law in R.I. Gen. Laws Chapter 5-20.5 applies.
