California has no wholesaling-specific statute, but it has some of the strongest unlicensed-brokerage enforcement in the country. High prices mean bigger fees, and more reason to do it by the book.

The law
What California law requires of wholesalers
- Assigning your own contract is not brokerage. Acting for someone else for compensation without a DRE license is, and for individuals it can bring fines up to $20,000 and up to six months in jail.
- Market the contract, not the property, and put your intent to assign in writing in the purchase agreement.
- AB 1850, introduced in the 2025–2026 session, would have required wholesalers to be licensed and added disclosure rules. It was held in committee in May 2026 and has not become law. Watch for it to return.

How wholesale closings work in California
California deals close through escrow. In Southern California that is usually an independent escrow company; in Northern California, the title company typically handles escrow. Confirm your escrow officer is comfortable with assignments before you open escrow.

Expect bigger deposits and bigger fees
